The Social Law Library (“Library”) is making access to Zola Suite available to its private, for-profit members admitted to a state Bar and engaged in active practice as a member benefit (the “Program”) and has entered into an Agreement with Zola Media which provides for same.
Through this Program, the Library’s Eligible Member-Subscribers shall have full access to and use of the full functionality of the Core Zola Suite package, as the same may thereafter be updated, added-to, or otherwise improved, together with any maintenance and technical support offered by Zola.
TERMS OF SERVICE
Participation in this Program will be governed by the following terms and conditions:
1. Definitions.
For purposes of this Program:
(a) the term “Eligible Members” means those of the Library’s private, for-profit members who are admitted to a state Bar and engaged in active practice, whose Library annual dues have been paid, and whose accounts (individual or firm) are otherwise in good standing. Governmental members, members from organizations with complimentary memberships, and members with discounted group memberships are not “Eligible Members” for purposes of this Program. Persons who are not members of the Library cannot be Eligible Members for purposes of this Agreement.
(b) the term “Member-Subscriber” means an Eligible Member of the Library who is also a Subscriber to Zola Suite through the Program.
2. Controlling Terms of Service.
Member-Subscribers’ use of Zola Suite is governed by Zola’s Terms of Service as published on https://zolasuite.com/terms-of-service/. To the extent, if any, that Zola Suite’s Terms of Service may conflict with the Library’s Terms and Conditions for the Program, the latter shall be controlling.
2. Member-Subscriber Participation.
Participation in the Zola Suite Program is governed by two Agreements, the first covering the period from July 6, 2017 through January 21, 2021 (First Agreement), the second from January 22, 2021 through January 21, 2024 (Second Agreement).
(a) All Member-Subscribers.
Terms of Service Applicable to Existing Member-Subscribers under the First Agreement.
For all Member-Subscribers and non-attorney users enrolled in the Program under the First Agreement, the terms and conditions of the subscriptions then operative shall continue in force and effect during the term of the Second Agreement.
(b) Terms of Service Applicable to Eligible Members Subscribing to the Program under the Second Agreement.
Under the Second Agreement, a subscription covers one Member-Subscriber user per firm plus one outside accountant user with limited access to financial data at no additional charge. Each additional Member-Subscriber shall pay Zola directly a monthly subscription fee at Zola’s published subscription rates over the term of his or her Zola Suite subscription. Non-attorney users (paralegal, clerk, bookkeeper, accountant) may be added at Zola’s going monthly per-person subscription rate.
Upon subscribing to Zola Suite, all Member-Subscribers shall pay to Zola an Initial Subscription Fee in the amount of Twenty-five Dollars ($25.00). For the one Member-Subscriber covered by this Program, this Subscription Fee shall be the only amount due and payable over the term of Zola Suite subscriptions.
(c) Non-Attorney Users: Firms of One to Three Members.
For firms of one to three Member-Subscribers, the Initial Subscription Fee (§ 3(a)) includes provision for one non-attorney user and one accountant/ bookkeeper user at no additional charge.
(d) Member-Subscriber Fees: For Firms of Four or More Members.
(i) In the case of a firm of four or more Eligible Members, the provisions of §§ 3(a), 3(b), and 3(c) shall apply to the first three Member-Subscribers.
(ii) A firm’s fourth and each additional Member-Subscriber shall pay Zola directly a monthly subscription fee with a twenty-five percent (25%) discount on Zola’s published subscription fees over the term of his or her Zola Suite subscription. Non-attorney users (paralegal, clerk, bookkeeper, accountant) may be added at Zola’s then current monthly per-person subscription rate discounted by twenty-five percent (25%).
(e) As a firm grows, new Member-Subscribers will be charged at the attorney account rate that was in effect at the date of the firm’s initial enrollment of Member-Subscribers.
(f) If Member-Subscribers who qualify under the Program to have their Zola Suite accounts underwritten by the Library choose an advanced feature package from Zola Suite, they shall only have to pay for the difference between the cost of the Standard Zola Suite user rate and the list price for the advanced feature package.
4. Advanced Features.
If Member-Subscribers who qualify under the Program to have their Zola Suite accounts underwritten by the Library choose an advanced feature package from Zola Suite, they shall only have to pay for the difference between the cost of the Core Zola Suite user rate and the list price for the advanced feature package.
5. Technical Support.
As set forth above, the Library is sponsoring Zola Suite as a membership benefit to its qualifying Member-Subscribers; under the Agreement, the Library assumes no responsibility for providing technical support for Zola Suite and is not equipped nor staffed to do so. Member-Subscribers acknowledge and agree that any support questions concerning the configuration and functionality and use of Zola Suite shall be directed to Zola’s Online Help Center at https://help.zolasuite.com/portal/home.
6. Disclaimers & Limitation of Liability.
Member-Subscribers acknowledge and agree that (a) the Library is offering the Program purely as member benefit; (b) there is no partnership, joint venture or other legal relationship between the Library and Zola other than the Agreement mentioned above; (c) the Library makes no warranty of any kind, whether express, implied, statutory or otherwise, regarding Zola Suite, including warranty of merchantability or fitness for a particular use or purpose; and (d) by participating in this Program, Member-Subscribers indemnify and release the Library from any and all claims arising out of a Member-Subscriber’s utilization of Zola Suite including, by way of illustration and not limitation, for (i) indirect, incidental, consequential or punitive damages, or (ii) loss of use, data, business, revenues, or profits (in each case whether direct or indirect).
7. Annual Renewal & Termination.
(a) At the one-year anniversary of a Member-Subscriber’s enrollment in the Program, and every year thereafter, he or she may be required to certify (on a form provided by the Library via email) that he or she is actively utilizing Zola Suite as his or her law-firm practice management system.
(b) The Library reserves the right, from time to time, through Zola, to monitor the usage of Zola Suite by such Member-Subscribers. No firm or client data will be accessed by such monitoring.
(c) If a Member-Subscriber is not actively utilizing Zola Suite as his or her law-firm practice management system, the Library reserves the right to cancel continued participation in the Program.
8. Termination of Agreement.
The Second Agreement between the Library and Zola Media governing this Zola Suite Program is for a three-year term expiring on January 21, 2024. Member-Subscribers agree that, in the event the Agreement is not renewed for an extended term, or not renewed after any subsequent term as extended, their subscriptions to Zola Suite shall terminate; provided, however, that they shall then have the option of continuing their subscriptions pursuant to Zola’s then-current terms, conditions, and pricing for Zola Suite.
9. Amendment of Terms & Conditions.
The Library reserves the right, in its sole discretion, to amend these Terms and Conditions at any time.
