Indemnification, in the simplest terms, is a concept whereby one party contracts, or is otherwise required under the law, to be financially responsible for certain risks of another. Indemnification clauses are a significant part of risk transfer and management in many industries, including construction. Yet, many attorneys and insurance professionals may not understand how indemnification clauses, insurance policies, and Massachusetts statutes and case law relate to one another. We will explore the basics of indemnification and review the interplay between indemnification clauses and insurance; indemnification language that triggers coverage—or sometimes extends beyond available insurance; how to negotiate various forms of indemnification clauses; and recent developments in Massachusetts cases that inform the ever-evolving landscape of indemnification in the Commonwealth.
